Which legal form in Switzerland, SA (AG) or Sàrl (GmbH)?
The Sàrl (GmbH) requires fully paid-up capital of 20,000 francs, and its partners are listed publicly. The SA (AG) requires 100,000 francs, at least 50,000 of which must be paid up on incorporation, and keeps its shareholders confidential. The right choice depends on your partners, your image and your financing plans.
Do I need someone resident in Switzerland to set up a company?
Yes. A Swiss SA or Sàrl must be represented by at least one person resident in Switzerland with signing authority. We help you find the right set-up.
Which canton should I set up in?
The one that best serves your business: proximity to clients, labour market, working language, taxation. Profit tax varies widely from one canton to another, but it is only one criterion among several.
How long does it take to set up a company in Switzerland?
Incorporation itself usually takes a few weeks, between paying in the capital, the notarial deed and registration in the commercial register. Preparation often takes longest: choosing the canton, the structure and the key people.
How do I set up a subsidiary in France?
The SAS is the most common form for a subsidiary: freely set capital and flexible articles. Registration is done online through the single business formalities portal. The choice of region, registered address and bank deserves as much attention as the legal form.
